Moreover, it aids South Africa&#8217;s objective of getting delisted from the Grey-list.<\/p>\n<hr \/>\n<p><strong>Entities Obliged to Disclose<\/strong>:<\/p>\n<p>Beneficial ownership must be reported by:<\/p>\n<ul>\n<li>Private Companies<\/li>\n<li>Close Corporations (CC)<\/li>\n<li>Non-Profit Companies (NPC)<\/li>\n<li>State-Owned Companies (SOC)<\/li>\n<\/ul>\n<p><strong>Specifically:<\/strong><\/p>\n<ul>\n<li>Trust shareholders equate the beneficiaries as beneficial owners.<\/li>\n<li>In a CC, beneficial owners are the members.<\/li>\n<li>NPCs with members recognize the members as beneficial owners, whereas NPCs without members consider the directors.<\/li>\n<li>For SOCs with a minister as a shareholder, the minister becomes the beneficial owner.<\/li>\n<\/ul>\n<hr \/>\n<p><strong>Entities Exempted<\/strong>:<\/p>\n<p>The following aren\u2019t obligated to disclose beneficial ownership:<\/p>\n<ul>\n<li>Public Companies<\/li>\n<li>Primary Co-Operatives (co-op)<\/li>\n<li>Personal Liability Companies<\/li>\n<\/ul>\n<hr \/>\n<p><strong>Notably:<\/strong><\/p>\n<ul>\n<li>Public companies are already overseen by entities like the Johannesburg Stock Exchange (JSE) and thus don&#8217;t need to submit again.<\/li>\n<li>Present amendments exclude primary co-operatives from the mandate.<\/li>\n<li>No specific directions have been issued yet for personal liability companies regarding this disclosure.<\/li>\n<\/ul>\n<hr \/>\n<p><strong>Who Can Submit?<\/strong>:<\/p>\n<p>Individuals authorized by the company can file the beneficial ownership details.<\/p>\n<hr \/>\n<p><strong>Deadline Reminder<\/strong>:<\/p>\n<p>Submissions to the CIPC are due by 1 October 2023, which marks 6 months post the inception of the General Laws Amendment Act.
